These terms govern your use of seraiq.io and the SERA·IQ waitlist. By using the site or joining the waitlist, you agree to them. Please read the sections on what the information is, and what it is not, with care. They define how the data we present should be understood.
01Acceptance
By accessing this site or submitting your email, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the site. We may update these terms over time, and the "Last updated" date above will reflect any change.
02What SERA·IQ provides
SERA is an information service. We compile public records, principally Form D notices of exempt offering and Form ADV filings made with the United States Securities and Exchange Commission, and we publish figures computed from them: new fund formation, filing cadence, placement agent engagements, and the appearance of the same related persons across separate filings.
We present public facts and let you draw your own conclusions. Where we show that two or more of the same related persons appear on separate filings, that is an observation about public records only. It is not a statement about employment, departure, contractual relationships, or intent, and it is not an allegation of any kind. Filings are prepared by issuers, and people may appear on a filing for reasons the filing does not disclose.
03Not investment advice
Nothing SERA publishes is investment, financial, legal, or tax advice, and nothing here is a recommendation to buy, sell, or hold any security, or to enter into any commercial engagement. Our figures are derived from filings and are a proxy for activity, not a substitute for a party's own reporting or for your own diligence. Any decision you make is your own responsibility.
04Accuracy and public records
We draw from public filings and government data sources and aim for accuracy, but we do not warrant that every figure, date, or mapping is complete or error-free. Source records can themselves contain errors, late filings, or amendments. The information is provided on an "as is" and "as available" basis. If you believe a record is inaccurate, contact us at editors@seraiq.io and we will review it.
05Acceptable use
- Do not use the site or its data to harass, threaten, or defame any person.
- Do not scrape, overload, or attempt to disrupt the service or its signup form.
- Do not submit another person's email address without their permission, or submit false information.
- Do not use the content to imply an endorsement by SERA·IQ that we have not given.
06Intellectual property
The SERA·IQ name, design, original text, and the data methodology are our property and are protected by applicable law. Underlying public records are not owned by us. You may share and quote our pages with attribution, but you may not copy the site wholesale or present our work as your own.
07Disclaimer of warranties and limitation of liability
To the fullest extent permitted by law, SERA·IQ disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We are not liable for any indirect, incidental, or consequential damages arising from your use of, or reliance on, the site or its information. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
08Governing law
These terms are governed by the laws of TODO(operator): governing-law state, e.g. "the State of Delaware", without regard to conflict-of-law rules. Any dispute will be brought in the courts located there.
