Nearly 600,000 Form D filings in SERA IQ*

More than 7,800 private funds on Form ADV

More than 2,200 placement firms named on Form D in the last twelve months

Read from SEC filings and data from U.S. federal agencies, the Federal Reserve and international bodies.

Private offerings filed with the SEC back to 2015, real prices and costs each read against their own 20 years, and the economy against US recessions since 1960.

Relevance over volume

Capital research draws on SEC filings, fund registrations, market data and economic reports, spread across many sources, most of them about firms that do not fit the raise in question. Research of this kind also dates quickly.

SERA IQ reads the record first and leaves out what does not fit: each firm shown is one whose own filings fit the raise, with the reason it fits, and every followed firm, issuer and raise is read again each night.

What SERA IQ answers

Capital for a raise

Markets and analysis

Following a firm, an issuer or a raise brings an email, weekly or each weekday, when it files again or amends an offering, or when an adviser's registration shows a new fund or a large change in its assets.

The evidence behind a fit

The best fits at the top of this page are the funds, wealth advisers and placement agents whose own SEC filings fit a sample raise's size and kind, each with the reason it fits. One placement agent among them is shown here in full, as a subscriber sees it: what it sells, how its deals performed, the typical cheque from its investors, the comparable deals on which it was named, and each deal's filing as filed.

9 industrial deals of $12.5M to $50.0M since October 2024, for 6 sponsors; 60 different sponsors across its whole record.

Contact details from official records

SERA IQ shows only the contact details that official records state, brought together in one place: an adviser's phone, website and office as it filed them, and its leaders by name and title; a placement agent's registered address. The same page carries the adviser's own answers on criminal, regulatory and civil matters. The details are fewer than in a contact database, and each one comes from the record.

Market conditions for comparable raises

Three measures, drawn from SEC filings, place a raise in its market: new capital reported by private offerings over the last four weeks, the number of offerings launched, and the share of target reached by comparable raises. Subscribers see the same measures for any raise, alongside the rates, credit, capital flows and economic cycles, from official sources, that shape investor appetite.

How we count a raise

New private capital reported on Form D in the four weeks to October 15, 2026, a raise filed several times counted once.

Weekly and monthly analysis

Each week and each month, SERA IQ publishes a short read on the markets behind private capital. It is general market commentary, not investment advice, drafted with the assistance of AI and checked by automated controls. Every figure in it comes from the data on SERA IQ's pages, and each call is graded against the published data once that data is out.

Every call is written down before the outcome and graded once the data is published. Nothing is removed afterwards: a wrong call stays on the scorecard beside the right ones.

Methodology: how firms are tested

Each firm is included on the evidence of its own filings.

No AI model is asked who might invest in a raise. Each firm is tested against the raise by fixed rules applied to what it has filed with the SEC, identically for every subscriber:

Firms that fail a test remain on the list, marked and ranked lower. Firms whose filings show they market only their own manager's funds are excluded, as are names not yet confirmed as firms. Every firm carries the reason it is listed, which can be read against the firm's own filings.

A listed firm reflects what public filings record. It is not a statement that any firm will invest in, place or support an offering.

How SERA IQ works, in full

  • Size. Whether the raise is a sensible size for the fund, its clients or its deals.
  • Kind. Whether its record fits the raise's industry and type of deal.
  • Evidence. Whether its filings show it invests in other sponsors' deals, or that its manager raises for its own projects.
  • Track record. For placement agents: how many recent comparable offerings named it as paid to sell, and for how many different sponsors.
  • Independence. Whether it works for many sponsors or mostly for its own affiliates.

The firms behind an issuer

An adviser's page shows how it is organised: its fund families and their vehicles on its latest registration, the offerings those funds cite, and the firms each filing names as paid to sell. Every line is a link the filings make themselves, a Schedule D file number or an Item 12 name, never an inference from a name.

An issuer can be followed from any of its filings; its next filing, new or amended, is then reported to the subscriber.

Frequently asked questions

How does SERA IQ differ from investor databases?

Investor databases are generally built around volume, and many are compiled from websites and online profiles: what firms and people say about themselves.

SERA IQ draws on what they file with regulators. It reads the record first and leaves out what does not fit: each firm shown is one whose own filings fit the raise, with the reason it fits; a sponsor's record is shown as filed, each figure linked to the filing it comes from; and every followed firm, issuer and raise is read again each night. The lists are shorter, and every entry carries its evidence, to the standard an investment committee expects. It is designed for those raising capital and for those evaluating the sponsors who raise it.

Does SERA IQ use AI to select firms?

No. No AI model chooses or ranks the firms on a list: each list is built by fixed rules applied to each firm's own SEC filings, and the same raise returns the same result from the same data on the same day. Every firm carries the reason it fits, which can be read against its filings. AI is used to draft and check the weekly and monthly market analysis.

Does SERA IQ advise on a raise or an investment?

No. SERA IQ is a research service. We do not solicit, introduce, recommend or arrange investments, we do not assess or rate sponsors or offerings, we are not a broker-dealer or investment adviser, and we are never paid on a transaction.
