For securities counsel and compliance teams
A client asks about an issuer.
What has it filed? Who is behind it? What is on its record? Look up the issuer by name or CIK, and SERA IQ answers in one place: every Form D and D/A it has filed since 2015, item by item and as filed, the firms the filings link to it, and the record on them, each filing on EDGAR one click away.
$199 a month for 24 months, up to $2,400 saved. No contract; cancel any time; your first month back within 5 calendar days if you ask and have not exported or gone past the first days' limits.

The form, annotated
On EDGAR, an issuer's history is a list of filings, each opened and read on its own. SERA IQ sets them out by offering and shows each filing item by item, as filed, with the Rule 503 date beside it where the rule applies.
Illustrative: a fictional issuer; the form's fields as Form D names them.
What has it filed?
Form D Notice of Exempt Offering of Securities
Item 1 Issuer's Identity
- Name of Issuer
- Calder Ridge Industrial Fund V, LP
- Entity Type
- Limited Partnership
- Jurisdiction of Incorporation/Organization
- Delaware
Every filing since 2015. Look up the issuer by name or CIK, and SERA IQ sets out every Form D and D/A it has filed since 2015, offering by offering.
Item 6 Federal Exemption(s) and Exclusion(s) Claimed
Rule 506(b); Investment Company Act Section 3(c)(1)
Each filing, item by item. Every Form D and D/A in the form's order and words, with the offering's other filings listed beside it and the exemption claimed as filed, such as Rule 506(b) or 506(c), or Investment Company Act Section 3(c)(1) or 3(c)(7). The filing on EDGAR is one click away.
Item 8 Duration of Offering
- Does the Issuer intend this offering to last more than one year?
- No
The Rule 503 date, in the rule's words. Where an offering's latest Form D claims Rule 504 or 506, its page gives the same day a year later in the rule's conditional words, beside the filer's own answer to this item and the amount remaining, as filed.

Item 3 Related Persons
- Name
- Calder Ridge Industrial Partners, LLC
- Relationship
- Promoter
- City
- Austin
- State/Province/Country
- Texas
The firms behind the issuer. Each related person is shown as filed: name, relationship (executive officer, director or promoter), and city and state only. The issuer's page links the adviser whose Form ADV lists its fund by the offering's Form D file number, a link the filings make themselves, never a guess from a name. The adviser's structure chart shows its fund families, the Form D offerings they cite and the firms each filing names in Item 12.
Item 12 Sales Compensation
- Recipient
- Wrenfield Securities LLC
- State(s) of Solicitation
- All States
The placement agent's record. A placement firm's profile lists the deals Form D Item 12 names it on, each with its Form D details as filed, the sales commission among them. It shows the share of the amount offered sold in its typical deal, the days from a deal's first filing to its latest, and the typical amount per investor, each deal's amount sold divided by its investors, since Form D gives totals, not each investor's amount.

Open the larger pictureRecords search Any Firm, by Name
Any firm, by name, CIK or CRD. An adviser or issuer opens its firm page: its raises, who sold them, the funds its Form ADV lists and its Record tab, where it has them, and, under Contact details, an adviser's main office, phone and website as its Form ADV gives them. A placement firm opens its profile: its deals and the states Item 12 names it to solicit investors in.
What is on its record?
Form ADV, Item 11 Disclosure Information
The adviser's answers, dated. On a firm's Record tab, an adviser's Form ADV Item 11 answers on criminal, regulatory and civil matters, each dated to its filing.
Record tab SEC Orders and OFAC Entries
Orders and listings linked to the firm. The Record tab shows SEC orders that name an issuer by its CIK, and OFAC list entries where the record links one to the firm. A firm with none shown is not cleared.

Open the larger pictureSanctions lists Lookup by Organization Name
The Sanctions lists lookup. Type an organization's name to look it up in OFAC's SDN and Consolidated lists as SERA IQ holds them. Each entry whose names carry every word typed is shown as OFAC prints it, with a link to the entry on OFAC's website. The lists held cover organizations and other entities, not individuals; a person is looked up on OFAC's own search. SERA IQ is not a sanctions screening service, and no result is a clearance.
Keep the file
- Follow the issuer. Each new Form D and D/A is reported on the Watchlist and by email, and the email reminds you of each Rule 503 date within 30 days of it and again within 7.
- Rule 503 dates across issuers. One list of the offerings whose latest Form D claims Rule 504 or 506 and whose Rule 503 anniversary falls in the next 30, 60 or 90 days, each with its Item 8 answer and the amount remaining as filed, in the rule's conditional words.
- Exports for the file. Filing searches export to Excel within your allowances, each file marked to your account, and an export can be filed in a client's or matter's workspace as it is made.
Also for counsel
- Comparable raises, for structuring.
- For a class, a size, a state and 12, 24 or 36 months, the raises like it on Form D: how many, their typical target, the share of target sold, time open, investors, the typical cheque and minimum investment, the share sold through a placement firm and, for deals, the sales commission reported. Each raise is counted once, each figure names the population it reads, and none is a forecast.
- Form ADV changes on a followed adviser.
- The follows email reports when a registration filing moves its assets under management up or down 25% and $250M or more against its filing a year earlier, and each private fund it reports for the first time with $25M or more, other than series and co-investment vehicles. Each change is reported once.
- Removal requests.
- A person named in a filing can ask us to withhold a row: Request a removal.
Records search, by firm or by person
A firm by name, CIK or CRD, with its public records, each dated: its newest Form D on SERA IQ and on EDGAR, and an adviser's SEC adviser record. Search filings by person finds the Form D filings that carry a name, as a related person (an executive officer, director or promoter), a recipient of sales compensation or a signer, each with the name as filed and its role in that filing, for business use only.

How the record is shown
Every filing is shown as filed and not changed, with its link to EDGAR, and SERA IQ's own figures are labelled as its own. SERA IQ is a research service, not a sanctions screening service, and no result, including one that finds no record, is a clearance of any person or firm. This is information, not legal advice.
Three questions. One place. Every record shows its source.

Request a demo (by invitation)Questions
Does SERA IQ say whether an amendment is required?
No. SERA IQ cannot see whether an offering is still open. It gives the Rule 503 date in the rule's conditional words, with the filer's own Item 8 answer and the amount remaining beside it, as filed. The judgement stays with you.
Is a firm with nothing shown cleared?
No. SERA IQ shows OFAC list entries and SEC orders only where the record links one to the firm. It is not a sanctions screening service, and a firm with none shown is not cleared.
Can I keep each client's issuers apart?
Yes. Each client's or matter's followed issuers and firms, and its exports, can be kept in a workspace of its own, with a private note only your account sees.
