For placement firms and capital advisors

Every raise in your space, the week it files.

SERA IQ reads every private offering filed with the SEC each business day and sorts it by industry, size and state, so a placement firm sees new sponsors when their raises begin, not after they close.

SERA IQ for placement firms: new offerings and a sponsor's raises, as filed All walkthroughs

The problem it solves

New raises surface late, through referrals and conference lists that every competitor also holds. The filings come first: Regulation D asks for each offering to be reported to the SEC within 15 days of its first sale.

What you see

Exhibit A

The new offerings in your class. Every filing since 2015, searchable by issuer, state, industry, amount and date, newest first.

Search filings with its filters open: state, industry group, exemption, dates, amounts and investors, with the first filings below, issuer names masked.

Exhibit B

Sponsors that already pay to raise. A sponsor's page lists each of its offerings and the placement firms its filings name as paid to sell them, with the commission each filing reports.

SERA IQ's structure chart for an adviser: its fund families, the Form D offerings they file and the placement firms each filing names, with every name masked.

Exhibit C

Who sells for the most issuers. Placement firms ranked in each asset class by the distinct issuers whose filings name them, never by dollars, since a filing does not say how much each firm sold.

A placement firm's profile in SERA IQ: why it fits a sample raise, its counts, how its deals went, what its investors put in, where it finds them and the deal sizes it sells.

How you would use it

  1. Set your class and size. The offerings filed in your space, newest first.
  2. Read the sponsor. Its offerings, what it raised, and who sold for it before.
  3. Follow it. An email reports when the sponsor files again or amends an offering.

Why it can be relied on

Every row is a filing with the SEC, shown as filed, with a link to the filing itself. A raise reported by several vehicles is counted once.

Questions

Does it show what each placement firm earned?

It shows the sales commission each filing reports for the offering. A filing does not say how much each named firm sold, so firms are ranked by the issuers they sell for.

Can I see a sponsor's earlier raises?

Yes. A sponsor's page lists every offering it filed since 2015, counted once, with the amount sought where stated, the amount sold and the dates of its first and latest filings.

How quickly do new filings appear?

Every weekday, covering the previous business day.
