For family offices and investors evaluating a sponsor

Read the sponsor's record before you commit.

For a sponsor with an offering filed with the SEC since 2015, SERA IQ assembles its record as filed: the offerings it reported, who sold them and, where it reports as an adviser, its regulatory record, each figure linked to the filing it comes from.

SERA IQ for investors: a sponsor's record at a glance, then each offering as filed All walkthroughs

The problem it solves

A sponsor's presentation shows the deals it chooses to show. The filings show every offering the sponsor reported to the SEC since 2015, how much of each was sold, and who was paid to sell it.

What you see

Exhibit A

The record at a glance. The sponsor's offerings since 2015 on one line and one timeline: how many, the new money reported, the placement agents named, and its registration as an adviser.

The head of an adviser's page in SERA IQ: new money on Form D by year and its counts, the name masked.
Illustrative example: the firms shown are fictional. Layout and figures from SERA IQ on October 17, 2026. Sources: U.S. Securities and Exchange Commission, EDGAR.

Exhibit B

Each offering, as filed. The amount sought where the filing states one, the amount sold, the dates of its first and latest filings, the placement firms named and the commission reported.

One of its deals opened to the Form D as filed: investors, minimum, exemption, sales commission and the other firms the filing names as paid to sell.

Exhibit C

The regulatory record. Where the sponsor's adviser reports to regulators: its registration, fund families and its own answers on criminal, regulatory and civil matters, dated to the filing; U.S. sanctions (OFAC) entries where the record links one, and SEC orders that name an issuer. A sponsor with none shown is not cleared.

An issuer's Record tab in SERA IQ: an entry on the U.S. Treasury's sanctions lists linked to the firm by the same name and a phone number printed in the entry, and an SEC order naming the company by its CIK, each with its source; the firm, the entry and the order are fictional.

How you would use it

  1. Look up the sponsor by name, CIK or CRD.
  2. Read its record at a glance, then each offering as filed.
  3. Follow it. An email reports when it files again or amends an offering.

What SERA IQ gives you

The sponsor's record in one place, as it was filed: every offering it reported, who was paid to sell each one, and the adviser's own answers to regulators, each figure linked to its source. Every sponsor's record is read by the same rules, so the judgement you form rests on the documents themselves.

Questions

Which sponsors are covered?

Sponsors with an offering filed with the SEC on Form D since 2015: the issuer by its own filings, and an adviser through the Form ADV that lists its funds. A sponsor with no such filing has no record in SERA IQ.

Is this a rating of the sponsor?

No. Every figure is what the sponsor and its offerings filed, linked to the filing. The judgement stays with you.

Can I follow a sponsor I have invested with?

Yes. Follow it from its page; an email reports when it files again, amends an offering or, for an adviser, when its registration shows a new fund or a large change in its assets.
