Rule 503 and the Form D amendment anniversary
An issuer files an amendment annually, on or before the first anniversary of the most recent filing, if the offering is continuing at that time.
What Rule 503 asks
An amendment is also filed to correct a material mistake of fact or error in the notice, and to reflect a change in the information it gave, with the exceptions the rule lists.
A Form D notice is filed no later than 15 calendar days after the first sale of securities in the offering.
How SERA IQ shows the date
Where an offering's latest Form D relies on Rule 504 or 506, its page gives the anniversary date in these words: "If this offering is still open, Rule 503 asks for an amendment on or before <date>." This is information, not legal advice.
The filings do not say whether an offering is still open, so the date is given on that condition and never as a deadline missed.
When the date has passed and SERA IQ holds no later Form D of the offering, the page says: "If this offering was still open, Rule 503 asked for an amendment on or before <date>. SERA IQ holds no later Form D of this offering."
